1. Acceptance of Terms

By accessing or using WireTrace's website, products, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

WireTrace provides an operational technology (OT) network visibility and security platform that includes passive asset discovery, deep packet inspection, behavioral threat detection, vulnerability assessment, and compliance reporting. The Services may be delivered as on-premises software, cloud-hosted solutions, or a combination thereof.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice when practicable.

3. User Accounts

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Reverse engineer, decompile, or disassemble any part of the platform
• Attempt to gain unauthorized access to systems or networks
• Transmit malicious code, viruses, or harmful data
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services for competitive analysis or to build a competing product

5. Intellectual Property

All content, software, algorithms, designs, trademarks, and other intellectual property associated with the Services are owned by WireTrace or its licensors. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited license to use the Services as described herein.

You retain ownership of any data you submit to or process through the Services. You grant WireTrace a limited license to use such data solely to provide and improve the Services.

6. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Fees and Payment

Certain Services may require payment of fees as specified in your subscription agreement or order form. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with at least 30 days' written notice before your next renewal period.

Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

8. Warranties and Disclaimers

WireTrace warrants that the Services will perform substantially in accordance with the applicable documentation. Except for this limited warranty, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that all vulnerabilities in your environment will be detected.

9. Limitation of Liability

To the maximum extent permitted by applicable law, WireTrace shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the Services, regardless of the theory of liability.

WireTrace's total aggregate liability for all claims arising under these Terms shall not exceed the total fees paid by you to WireTrace during the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless WireTrace and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Term and Termination

These Terms remain in effect until terminated by either party. You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if required by law.

Upon termination, your right to use the Services ceases immediately. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Riyadh, Saudi Arabia.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
